Terms of Use

Effective August 2024

Please read these Terms of Use carefully. By accessing or using our websites, mobile applications, Software Development kits or other products or services that are linked to these Terms, you agree to be bound by these Terms and all Terms incorporated by reference. If you do not agree to all of these terms, do not use our websites, mobile applications or other products or services.  

1. The Services

a. These Terms of Use ("Terms") apply to your access to, and use of, the websites, mobile applications, software development kits and other products and services that have linked to these Terms (collectively, the "Services") offered by Finspector.ai, a wholly owned subsidiary of Goodfolio Ltd. (collectively, "Finspector”, "we" or "us"). These Terms do not alter in any way the terms or conditions of any other agreement you may have with Finspector for products, services or otherwise. If you are using the Services on behalf of any entity, you represent and warrant that you are authorised to accept these Terms on such entity's behalf and that such entity agrees to be responsible to us if you violate these Terms.

b. Finspector reserves the right to change or modify these Terms at any time and in our sole discretion. If Finspector makes changes to these Terms, we will provide notice of such changes, such as by providing notice through the Services, or by updating the "Last Updated" date at the top of these Terms. Your continued use of the Services will confirm your acceptance of the revised Terms. We encourage you to frequently review the Terms to ensure that you understand the terms and conditions that apply to your use of the Services. If you do not agree to any amended Terms, you must stop using the Services.

c. In the event of conflict between these Terms and any other written agreement between you and Finspector for the purchase of Services, the latter shall prevail. 

2. Registration and Account

a. In order to access and use certain areas or features of the Services, you may be required to register for an online account. 

b. In consideration of your use of the Services, you agree to (a) provide accurate, current and complete information; (b) maintain and promptly update your information; (c) maintain the security of your password and accept all risks of unauthorised access to your account and the information you provide to Finspector; and (d) promptly notify Finspector if you discover or otherwise suspect any security breaches related to the Services.

3. Fees and Payment

a. Monthly Subscription Fee: In consideration of the provision of the Services, you agree to pay the Monthly Subscription Fees. All amounts stated are payable in pound sterling (£). All Fees will be exclusive of taxes which (where applicable) we will add to its invoices at the appropriate rate. You will pay each invoice submitted to it by Finspector in full within 30 days of the date of the invoice or through provided subscription regular payment services (Stripe or alternative selected by Finspector). You may not withhold payment of any invoice or other amount due to Finspector by reason of any right of set-off or counterclaim which you may have, or allege to have, or for any reason whatsoever. 

b. Price Changes: Finspector may adjust service pricing with at least 30 days' notice. New rates apply from the next billing cycle. Continued use after the change constitutes acceptance. You may cancel before the change takes effect per our cancellation policy.

c. Discontinuation of Pricing Plans: Finspector reserves the right to modify, discontinue, or deactivate any subscription plan or pricing tier at its sole discretion. Affected customers will receive at least 30 days’ notice before the change takes effect. If a plan is discontinued, customers may be offered an alternative plan or the option to cancel their subscription before the next billing cycle. Continued use of the Services after the change constitutes acceptance of the new pricing or plan.

4. Free Trial Period

a. Limits & Fair Use Policy:

i. Finspector may provide a free trial with limited access to certain features or functionalities. Each free trial includes a time-based access period (e.g., 14 or 30 days) with specific usage limits.

ii. Your trial allowance (e.g., number of tokens, data usage, API calls, etc.) can be viewed at any time in your Account Settings.

iii. Exceeding these limits may result in temporary restrictions until you upgrade to a paid plan.

iv. No automatic charges will apply after the usage cap is reached, unless you actively choose to subscribe.


b. Subscription Start:

i. Upgrade: Once your free trial ends, your account will be paused. You will not be automatically moved to a paid plan. To continue using the platform, you must select and upgrade to your preferred plan.

ii. Payment Authorisation: By providing payment details when signing up for a free trial, you authorize Finspector to charge the applicable subscription fee to your payment method only after you have actively chosen to upgrade.

iii. Data Retention: If you do not upgrade, your data will be stored for a limited period, after which it may be deleted in accordance with our Term & Termination Policy (Section 16).

c. Cancellation & Refunds: You may cancel at any time during the free trial by emailing customer support at hello@finspector.ai or Lothifa@finspector.ai

i. Refund Policy: Subscription fees incurred after transitioning from a free trial are non-refundable, except where required by applicable law or explicitly stated in these Terms of Use.

d. Prohibited Activities:

i. Creating multiple trial accounts to bypass limits.

ii. Excessive usage that negatively impacts platform performance.

iii. Any misuse that violates our Terms of Service or Acceptable Use Policy (Section 5).

e. Policy Enforcement:

i. We reserve the right to limit, pause, or suspend trial accounts if unfair use is detected.

ii. This policy may be updated at any time to ensure fair access for all users.

5. Acceptable Use Policy

a. You are responsible for all content associated with your use of the Services. You agree that you will not use the Services to create any content that is harmful, misleading, or violates the rights of any third party. 

b. In addition to any limitations covered in other applicable terms, you agree that you will not use the Services to:

i.Mislead anyone that the content generated is human-generated;

ii.Provide medical, health, safety, legal, financial or other specialised advice to individuals;

iii. Generate or disseminate:

  1. Information that constitutes illegal or harmful content under applicable law;
  2. Content that is misleading, illegal, fraudulent, deceptive, or could lead to harm;
  3. Private information of others in violation of their privacy or data protection rights;
  4. Content, including images, that infringes or has the potential to infringe the intellectual property or other proprietary rights of another;
  5. Content that may be libellous, slanderous, or otherwise defamatory;
  6. Political content, including for dissemination in electoral campaigns;
  7. Spam, ransomware, keyloggers, viruses or other malware;
  8. Content that contains corrupted data or any other harmful, disruptive, or destructive files;
  9. Hateful, harassing, abusive, violent, or highly offensive content that attacks or dehumanises a group based on race, ethnicity, national origin, religion, disease or disability, gender, age, or sexual orientation; 
  10. Pornographic material, images of explicit nudity, depictions of graphic violence or gore, or content that otherwise promotes, glorifies, or threatens violence.

iv. Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity; or

v. Intentionally or unintentionally violate any applicable law or regulation.

c. Finspector may impose limits on the number of Outputs you can create. You may be notified if you have reached the maximum number of Outputs for your account.

6. Content

a. You are responsible for any text you type or images, content, or data you upload into the Services (“Input”), as well as any text, images, or content generated by the Services (“Output”, together “AI Content”). You are also responsible for ensuring that any AI Content complies with all applicable laws, regulations, terms and confidentiality obligations before generating, using, or sharing it. To the extent that your AI Content includes personal data of any type, you must ensure that you have the appropriate lawful basis to input and use such personal data and that this extends to the use of AI Content by Finspector and its third party technology partners as set out in these Terms.

b. You understand that all Outputs are generated by artificial intelligence and that it is your responsibility to verify the accuracy of all AI Content and ensure its compliance with all applicable law, regulations, and terms, including any intellectual property or privacy rights of third parties.

c. As between you and Finspector, to the extent permitted by law and subject to the Applicable Terms, you own your AI Content. You retain all rights in your Inputs and Outputs, subject to the rights you granted to us in these terms.

d. In the event that any of your Inputs or Outputs is alleged to be unlawful or otherwise in breach of these terms, Finspector may disclose such content to law enforcement or other governmental authorities, or in response to a court order.

e. Although we have no obligation to monitor any AI Content, we have absolute discretion to remove AI Content at any time and for any reason without notice. We may also monitor such AI Content to detect and prevent fraudulent activity or violations of these or other applicable terms. You understand that by using the Services, you may be exposed to content that is offensive, indecent, or objectionable. Finspector does not warrant, represent, or guarantee the accuracy, completeness or reliability of any Output, or that any Output or use of it (i) is free from bias; and (ii) does not or will not infringe any third-party rights.

f. We take no responsibility and assume no liability for any Content or for the consequences of its use, including any omissions, errors, loss or damage to any of the AI Content. 

7. Parties Obligations

a. The parties will provide each other with: (a) all necessary co-operation in relation to the Services; and (b) access to such information as may be required in order to render and receive the Services. 

b. We will provide Services in accordance with the SLA Schedule as described in Appendix A below.

c. You are responsible for maintaining the confidentiality of any password(s) or other security measures used to access the Services, and are fully responsible for all activities that occur under such password(s) or other security measures. You will notify Finspector immediately of any suspected or confirmed unauthorised access to or use of the Services. If Finspector reasonably believes that there has been unauthorised access to or use of the Services, or is notified of such, Finspector reserves the right to immediately withdraw or suspend access to the Services and to alter your password(s), provided that Finspector restores access to the Services and/or provides new password(s) (as applicable) as soon as reasonably possible.

d. You must notify [us] in writing if there are any changes to any of your contact details.

8. Copyright and Limited License

a. Unless otherwise indicated on the Services or otherwise by Finspector, the Services and all content and other materials therein, including, without limitation, the Finspector logo and all designs, text, graphics, pictures, information, data, software, sound files, other files and the selection and arrangement thereof (collectively, "Content") are the proprietary property of Finspector or our licensors are protected by international copyright laws.

b. You are hereby granted a limited, non-exclusive, non-sublicensable licence to access and use the Services and Content; however, such licence is subject to these Terms and does not include 

i. any resale or commercial use of the Services or the Content therein;

ii. the collection and use of any product or service listings, pictures or descriptions;

iii. the distribution, public performance or public display of any Content;

iv. modifying or otherwise making any derivative uses of the Services or the Content, or any portion thereof; 

v. use of any data mining, robots or similar data gathering or extraction methods;

vi. downloading (other than the page caching) of any portion of the Services, the Content or any information contained therein, except as expressly permitted on the Services; and 

vii. any use of the Services or the Content other than for their intended purposes.

c. Any use of the Services or the Content other than as specifically authorised herein, without the prior written permission of Finspector, is strictly prohibited and will terminate the licence granted herein. Such unauthorised use may also violate applicable laws, including without limitation copyright and trademark laws and applicable communications regulations and statutes. Unless explicitly stated herein or otherwise by Finspector, nothing in these Terms shall be construed as conferring any licence to intellectual property rights, whether by estoppel, implication or otherwise. This licence is revocable at any time.

d. Notwithstanding anything to the contrary in these Terms, the Services and Content may contain software components that are subject to separate licence terms, in which case those licence terms will apply to the access and use of such software components.

9. Trademarks

a. The Finspector logo and any other Finspector product or service names, logos or slogans that may appear on the Services are trademarks of Finspector, and may not be copied, imitated or used, in whole or in part, without the prior written permission of Finspector or the applicable trademark holder. Reference to any products, services, processes or other information, by name, trademark, manufacturer, supplier or otherwise does not constitute or imply endorsement, sponsorship or recommendation by Finspector.

10. Our Warranties and Disclaimers

a. We provide our Services using a commercially reasonable level of skill and care. Finspector cannot and does not represent or warrant that the sites or its server(s) are free of viruses or other harmful components; therefore, you should use industry-recognised software to detect and disinfect viruses from any download.

b. Other than as expressly set out in these terms or additional terms, neither Finspector nor its suppliers or distributors makes any specific promises, either express or implied, about the Services. We do not make any commitments about the Content within the Services, the specific functions of the Services or their reliability, availability or ability to meet your needs. Finspector is not responsible for typographical errors or omissions or false statements, including in respect of data provided by third parties.

c. Finspector hereby disclaims any implied warranties whether arising under law, through course of dealing, or otherwise, (including any implied warranties of non-infringement, title, satisfactory quality, fitness for purpose, merchantability or conformance with description). In addition, Finspector does not warrant or enter into any other term to the effect that any Services or any technology provided will be entirely free from defects or that its operation will be entirely error free. You understand that we obtain the information reported in its reports from various third party sources “as is”, and therefore are providing the information to you “as is”.

d. Finspector reserves the right to change any and all content contained in the Services and to modify, suspend or discontinue the Services or any features or functionality of the Services at any time without notice and without obligation or liability to you. Reference to any products, services, processes or other information, by trade name, trademark, manufacturer, supplier or otherwise does not constitute or imply endorsement, sponsorship or recommendation thereof, or any affiliation therewith, by Finspector. 

11. Limitation of Liability

a. In no event shall Finspector or its suppliers, distributors or affiliated parties be liable for any direct, special, indirect or consequential damages, or any other damages of any kind, including but not limited to loss of use, loss of profits or loss of data, whether in an action in contract, tort (including but not limited to negligence) or otherwise, arising out of or in any way connected with the use of or inability to use the Services or the content contained in or accessed through the Services, including without limitation any damages caused by or resulting from reliance by any user on any information obtained from Finspector, or that result from mistakes, omissions, interruptions, deletion of files or email, errors, defects, viruses, delays in operation or transmission or any failure of performance, whether or not resulting from acts of god, communications failure, theft, destruction or unauthorised access to Finspector’s records, programs or Services. In no event shall the aggregate liability of Finspector whether in contract, warranty, tort (including negligence, whether active, passive or imputed), product liability, strict liability or other theory, arising out of or relating to the use of or inability to use the Services or to these terms exceed 125% of the total amount you paid to Finspector in the 12 month period immediately preceding the event giving rise to the claim. 

12. Indemnity

a. You will indemnify, defend, and hold harmless Finspector and its respective officers, shareholders, directors, and personnel, (and keep such individuals indemnified on a full indemnity basis), from and against any third party claims, suits, hearings, actions, damages, liabilities, fines, penalties, costs, losses, judgments or expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Services (collectively, “Claims”).

13. Confidentiality 

a. Neither party will disclose any confidential information, except to (i) employees, affiliates and/or professional advisors who need to know it and who have agreed in writing (or in the case of professional advisors are otherwise bound) to keep such information confidential and (ii) third party service providers where and only to the extent required to provide the Services. The recipient will ensure that those people and entities: (a) use such confidential information only to exercise rights and fulfil obligations under these Terms of Use; and (b) keep such confidential information confidential. You may also disclose confidential information when required by law. 

14. Third Party Technology Partners

a. Finspector may use technology provided by third party service providers to provide some functionality for the Services. You acknowledge that any Input you provide, including any personal data you choose to include within that Input, may be shared with such third party service providers to enable functionality within the Services. By using the Services, you direct and consent to personal data you include in an Input being transferred to these third parties, including, but not limited to, OpenAI, LLC, and you agree that your use is subject to the terms of those third parties. For reference, the terms of some of our primary generative AI partners are included here: OpenAI and Google Cloud Platform. This list is not exhaustive and please be aware that any use may be subject to additional terms of any third party service provider used for a given product.

b. We may also share your data with select third party service providers we engage to create or enable functionality and they may also use your data to improve their services. This may include any personal data you choose to include within such Input and you acknowledge that our Privacy Policy applies to the handling of such personal data.

15. Privacy

a. Please refer to our Privacy Policy for information about how Finspector collects, uses, and discloses information in relation to our Services and website usage. 

16. Term and Termination

a. Term. These Terms of Use shall become effective as of the date you first access or use the Services and shall continue in effect until terminated by either party as set forth herein. The Services are billed on a subscription basis, which you may cancel at any time in accordance with the instructions provided on Finspector's website or within the service interface.

b. Termination by You. You may discontinue use of the Services and terminate these Terms at any time. To cancel your subscription, please follow the cancellation procedures set forth on the Finspector platform or contact our customer support team for assistance.

c. Termination by Finspector. Finspector reserves the right to terminate or suspend your account and access to the Services immediately, without prior notice or liability, if you breach any of these Terms, or for any other reason whatsoever. Following termination, your right to use the Services will cease immediately.

d. Effect of Termination. Upon termination, your right to use the Services stops right away. Finspector may permanently erase your data from our servers after 30 days post-termination unless legally prohibited. It is your responsibility to secure necessary data prior to termination.

e. Survival. Provisions of these Terms which, by their nature, should survive termination of these Terms will survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

17. No Refund Policy

a. No Refunds. All fees paid by you in relation to the Services provided by Finspector are final and non-refundable, unless otherwise determined by Finspector at its sole discretion.

18. Payments

a. Payment Terms. Fees for our Services are due as specified in our payment terms. Finspector reserves the right to suspend the Services for late payment.

19. Severability

a. If any provision of these Terms shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.

20.Other

a. Failure or delay in exercising any right or remedy under these Terms of Use will not constitute a waiver of such (or any other) right or remedy. If any provision (or part of any provision) is found by any court or other authority of competent jurisdiction to be invalid, illegal or unenforceable, that provision or part-provision will, to the extent required, be deemed not to form part of the Terms of Use and (a) the parties will immediately commence good faith negotiations to remedy such invalidity; and (b) the validity and enforceability of the other provisions of the Terms of Use will not be affected.

b. Nothing in these Terms of Use will create an agency, partnership or joint venture of any kind between the parties. Neither party will have authority to act in the name of or on behalf of the other, or to enter into any commitment or make any representation or warranty or otherwise bind the other in any way.

c. Neither party will be liable for any delay or non-performance of its obligations under these Terms of Use to the extent that such delay or non-performance is a result of any condition beyond its reasonable control (a “Force Majeure Event”). To the extent that a Force Majeure Event occurs, you acknowledge that we may be required (and will be permitted) to change the manner in which it provides the Services. 

21. Arbitration Agreement

a. Arbitration. Any dispute, controversy, or claim arising out of, relating to, or in connection with these Terms or the Services, including any questions regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration under the arbitration rules of the London Court of International Arbitration, which rules are deemed to be incorporated by reference into this clause. The number of arbitrators shall be one. The seat, or legal place, of arbitration shall be London, England. The language of the arbitration shall be English. The governing law of the contract shall be the substantive law of England and Wales.

22. Governing Law

a. These Terms and all disputes and claims arising out of or in connection with them are governed by English law. The parties irrevocably agree that the courts of England have exclusive jurisdiction to settle any dispute or claim (whether contractual or non-contractual) arising out of or in connection with these Terms or the Services.

Appendix A: 

SLA Schedule

Maintenance Windows: Scheduled maintenance will typically occur outside of working hours where possible with at least 48 hours’ prior notice.

Initial Response Time: A member of our Customer Support team will acknowledge your request in accordance with the priority schedule outlined below.

Support Resolution Times

  1. Urgent/ Severity 1: Critical issues causing total downtime or severe impact on operations that make the software totally inoperable (e.g., system outages). For a severity 1 issue, either no workaround exists or the available workaround is unacceptable due to its operational impact on the Customer’s business.

  1. High/ Severity 2: Significant impact on functionality but not a total outage (e.g., major feature broken). Severity 2 problems: i) severely restrict operation or result in lack of key product functionality. ii) result in key components or applications (that is critical end user functions) being down, or unusable with potential critical impact on service delivery. For a severity 2 issue, no acceptable workaround, bypass, or alternative is available. Examples include significant service performance degradation where service delivery is significantly impacted or partial Customer set significantly affected.

  2. Medium/ Severity 3: Moderate impact with a workaround available (e.g., non-critical bug or performance issue). Severity Issue 3 problems are when a component or minor application or procedure is down, unusable, or substantially difficult to use causing some material, operational impact, but no immediate impact on service delivery. Examples include: i) service outage but alternative workaround available. ii) problems that significantly degrade service but do not prevent delivery of service. iii) potentially compromised ability to deliver service, or where scattered Authorised Users are affected.

  3. Low/ Severity 4: Minor feature issues. Severity 4 problem means a service component or procedure that is not critical to the Customer is unusable where an alternative workaround is available and a deferred resolution is acceptable. Examples include: i) issues with no impact to service delivery. ii) issues with no production services are affected, or individual customers are affected.
